These Website Terms & Conditions (“Terms”) govern your access to and use of www.modeloptic.com and its publicly available pages, including the text, images, videos, sample models, documentation, and other materials published on them (together, the “Site” and the “Content”). The Site is operated by Modeloptic LLC, a Delaware limited liability company (“Modeloptic”, “we”, “us”).

By accessing or using the Site you agree to these Terms and to our Privacy Policy. If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind it, and “you” refers to that entity. If you do not agree, do not use the Site.

These Terms apply only to the public Site. Access to and use of the Modeloptic financial modeling platform and any password-protected area (the “Service”), including everything you submit to the Service and everything it generates for you, is governed exclusively by the Modeloptic Services Agreement or by a signed agreement between you and Modeloptic, together with the Privacy Policy. Nothing in these Terms grants Modeloptic any right in data or content you submit to the Service. If these Terms conflict with the Services Agreement or a signed agreement about the Service, that agreement controls.

We may revise these Terms from time to time. The date at the top of this page shows when they were last revised. Your continued use of the Site after a revision takes effect is acceptance of the revised Terms.

Subject to these Terms, you may view, download, copy, and annotate publicly available Content as reasonably needed to evaluate Modeloptic and its products, including legal, security, and procurement review. You may share those copies with your personnel and professional advisors for that evaluation, and may modify sample models solely to evaluate them. You may use an automated assistant acting on your behalf to retrieve and analyze public pages for the same purposes, provided it respects access controls and reasonable rate limits and does not bulk-extract the Site or Content. These permissions do not authorize model training, fine-tuning, development, competitive benchmarking, or public republication. All other rights are reserved. Except as expressly permitted above, you will not:

(a) copy, modify, distribute, sell, license, frame, or create derivative works of the Site or Content, or remove any copyright, trademark, or other proprietary notice; (b) use any robot, spider, scraper, or other automated means, or any manual process, to access, copy, or monitor the Site or Content, or to extract data from it, other than through interfaces we provide for that purpose; (c) interfere with or disrupt the Site, its servers, or its networks, probe or test their vulnerability, or circumvent any security or access control; (d) impersonate any person or entity, misrepresent your affiliation, or forge headers or identifiers; (e) use the Site to send unsolicited communications or to upload malicious code; (f) use the Site or Content to build, train, or benchmark a competing product or any artificial intelligence or machine learning model; or (g) use the Site in violation of any law or third-party right.

The Content describes Modeloptic and its products for evaluation purposes and may change without notice. Feature descriptions, screenshots, sample models, and example outputs are illustrations, not commitments. The fees and allowances that apply to any purchase are those shown at checkout and in the Services Agreement, not those on any Site page. Nothing on the Site is investment, legal, tax, or accounting advice, and no Content is a recommendation to buy, sell, hold, lend, or invest. You should not rely on the Site or Content as the basis for any business or financial decision; before purchasing, review the Services Agreement and make your own assessment of whether the Service suits your needs.

Information you submit through the Site’s forms (for example, contact, demo, and signup forms) is handled as described in the Privacy Policy, and where a form says so, you agree to receive marketing communications from us, which you can opt out of at any time. Voluntary product ideas, suggestions, and recommendations you send us about the Site, the Service, or our business (“Feedback”) are non-confidential, and you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate Feedback into our products and services without restriction, attribution, or compensation. Do not include confidential information in Feedback. Customer data, models, files, or examples supplied for processing, troubleshooting, or support, including those accompanying Feedback, are not Feedback and remain governed by the applicable service agreement and Privacy Policy. Reporting a security vulnerability does not make the report non-confidential.

The Site and Content, including all software, text, graphics, logos, trademarks, sample models, documentation, and their selection and arrangement, are owned by Modeloptic or its licensors and are protected by copyright, trademark, and other laws. Except for the limited viewing right above, no license or right in the Site or Content is granted to you, whether by implication, estoppel, or otherwise. Modeloptic and the Modeloptic logo are trademarks of Modeloptic LLC.

The Site may link to websites and services we do not operate. We do not control them, are not responsible for their content or practices, and a link does not mean we endorse them. Your use of a third-party site is governed by its own terms and privacy policy.

THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MODELOPTIC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. WE MAY MODIFY, SUSPEND, OR DISCONTINUE THE SITE OR ANY PART OF IT AT ANY TIME WITHOUT NOTICE. Warranties relating to the Service are addressed only in the Services Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELOPTIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE CONTENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. MODELOPTIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE CONTENT WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Liability relating to the Service is governed solely by the Services Agreement or your signed agreement. Some jurisdictions do not allow certain exclusions or limitations, in which case our liability is limited to the greatest extent permitted by law.

We may block or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, at the request of a law enforcement or government agency, or to address a security or technical issue. You agree that a violation of the “Using the Site” section may cause us irreparable harm for which monetary damages would be inadequate, and that we may seek injunctive relief in addition to any other remedy.

You represent that you are not located in, and are not a national or resident of, a country or territory subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government list of prohibited or restricted parties. Modeloptic does not do business with such persons.

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois, for any dispute arising out of or relating to these Terms or the Site, and WAIVE ANY RIGHT TO A TRIAL BY JURY in any such proceeding.

These Terms, together with the Privacy Policy, are the entire agreement between you and Modeloptic regarding the public Site. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Notices to Modeloptic may be sent by email to contact@modeloptic.com. Email is sufficient for all notices under these Terms; no mailed copy is required.
